Terms and Conditions.
These terms apply to every payment you make to Epiphany Dynamics LLC: project invoices, payment links, deposits and monthly subscriptions.

These terms are an agreement between Epiphany Dynamics LLC ("we", "us") and the person or business paying us ("you", "your"). They apply when you pay us through a Stripe invoice, payment link, checkout page or monthly subscription for any service we provide. That includes one-time projects, deposits, phase payments, additional work, and monthly subscriptions. Agreeing at checkout, or paying an invoice that links to these terms, means you accept them. If you pay for a business, you confirm that you have authority to accept these terms for it.
If you also have a signed contract, statement of work, or written proposal from us, that document controls wherever it differs from these terms. Your invoice or payment link states what the payment is for. These terms cover everything those documents leave out.
1. What you are paying for
Your invoice, payment link, proposal, or statement of work states the work, the amount, and the timing. That is the scope. Work outside the scope is a change request: we tell you the cost and timing before we start, and we start after you agree in writing. Email counts as writing. Any dates we give are estimates unless the document says they are fixed.
2. What you provide
You give us accurate information, the access we ask for, and timely answers and feedback. If you do not, delivery dates may move, and extra work that results may be a change request.
3. Payment
Payments go through Stripe. Amounts are in U.S. dollars unless the checkout page says otherwise. The amount you pay is the amount shown on your invoice or checkout page. Payment is due when your invoice, payment link, or proposal says. If it does not say, payment is due on receipt. Stripe may email you a receipt. Your own bank may charge card, transfer, or currency fees. Those are yours to pay. If a payment fails, is declined, or is reversed, we may pause work until it is resolved. If you have a problem with a charge, contact us first so we can fix it before you open a dispute with your bank.
4. Delivery and corrections
We deliver the work described in your invoice, payment link, proposal, or statement of work. Each payment covers the work it names. If a project is paid in phases, each payment covers its own phase. When we deliver, review the work against that scope. If something in the scope is missing or does not work as described, tell us in writing and we will correct it at no extra charge. If we cannot correct it, we will refund the part of your payment that covers that work, less third-party costs we cannot recover. Anything new or different is a change request under section 1. If your proposal or statement of work sets its own acceptance process, that process applies instead.
5. Cancellation and refunds for one-time work
If you cancel before we have started the work you paid for, we will refund your payment. After we start, your payment covers the work done and the costs we have already incurred, and it is not refundable, unless your proposal or statement of work says otherwise or we agree in writing. Section 4 explains your remedy for work that does not match its scope. Refunds go back to your original payment method through Stripe and can take several days to appear. Monthly subscriptions follow the cancellation terms in section 8.
6. Third-party services and costs
Third-party software fees (Twilio, OpenAI usage, hosting, domain renewals, premium plug-ins) and A2P SMS carrier registration fees are not part of our fees unless your invoice or proposal says so. They are billed in your own accounts or quoted separately. We do not control third-party platforms. If one changes its price, features, or availability, we will tell you, but we are not responsible for the change.
7. AI, automation, and results
Our systems often use AI models and third-party platforms. AI can give wrong or incomplete output. We build and test each system for your use case, but we cannot promise that its output is correct every time. You are responsible for reviewing it where a mistake would matter, and for following the rules that apply to your business, such as notice and consent rules for recorded calls and text messages. We do not guarantee leads, bookings, revenue, search rankings, or any other business result.
8. Monthly subscriptions
This section applies only if you subscribe to a monthly plan, such as an Operating Partnership tier or a care and maintenance plan. The other sections apply too. Your plan covers the services described in its offer document. Your monthly fee is the amount shown at checkout, and Stripe charges it automatically on the same date each month using the payment method you provide at signup. Unused monthly builds do not roll over, and work beyond your plan is quoted separately. A subscription is month to month. You can switch plans, pause for up to 60 days, or cancel at any time by contacting us. Cancellation takes effect at the end of your current paid billing period, and you remain entitled to that month's deliverables. We do not issue partial refunds for partially used months.
9. Ownership of work
Once you have paid for them, the deliverables we build for you (code, automations, content, configurations, accounts created in your name) are yours. Code hosting and deployment that we run for you may sit in our accounts while the work is active. Your proposal sets whether and when those accounts are handed over to you. The code and content you paid for remain yours either way. We retain the right to reuse general know-how, methods, and non-confidential techniques in our other work.
10. Confidentiality
Each side will protect the other's confidential information, including business data, customer lists, credentials, and strategy, with reasonable care and will not disclose it to third parties except as required to deliver the services or by law.
11. Credentials and accounts
Third-party accounts that hold your data or credentials (Stripe, OpenAI, domain registrars, and similar) are created and billed in your name. You retain full ownership and access. The code hosting and deployment services described in section 9 are the exception: they may sit in our accounts, as your proposal describes. If we ever part ways, every account in your name stays with you.
12. No other warranties
Except as stated in these terms and in your proposal or statement of work, we provide our services as described and make no other warranties, express or implied, to the extent the law allows.
13. Liability cap
Our total liability to you for any claim arising from our services or these terms is limited to the fees you paid us for the services the claim relates to. For monthly subscriptions, it is limited to the fees you paid us in the three months immediately preceding the claim. Neither side is liable for indirect, incidental, or consequential damages.
14. Indemnity
Each side is responsible for claims arising from content, data, or instructions it provides to the other. You will not give us material that infringes someone else's copyright, trademark, or privacy rights, and we will not knowingly include such material in deliverables we create.
15. Acceptable use
You will not ask us to build systems that violate law, send spam in violation of CAN-SPAM or TCPA, or facilitate fraud. We reserve the right to decline or stop work on any request that crosses these lines.
16. Independent contractor
We are an independent contractor, not your employee, partner, or joint venturer. Nothing here creates an exclusivity obligation in either direction.
17. Governing law
These terms are governed by the laws of the State of Tennessee. Any dispute will be resolved in the courts located in Davidson County, Tennessee.
18. Changes
We may update these terms at any time. A change does not affect work you already paid for under an earlier version. For active subscriptions, material changes will be emailed to your billing email at least 14 days before they take effect, and you may cancel before they apply if you disagree.
